FGC Clean is a computer systems design and technical services studio that provides infrastructure architecture, cloud and hybrid systems engineering, network and security design, data platform engineering, performance optimization, and technical advisory and roadmapping services. Our practice spans the full lifecycle of systems engineering, from discovery and audit through architecture blueprinting, implementation and integration, to ongoing optimization and sustainment.

All services are provided by TRS Mobile Service LLC, operating as FGC Clean, from our office located at 14455 S Muirwood Cir, Herriman, Utah 84096-8218, United States. The scope, deliverables, timelines, fees, and any other material terms for a specific engagement shall be set forth in a separate written agreement, statement of work, or service order executed by both parties. These Terms of Service govern your general use of our website and shall supplement, not supersede, any separate written agreement between you and FGC Clean.

FGC Clean makes no representation that the website or services described therein are appropriate or available for use in all locations. Those who choose to access fgcclean.hair from locations outside the United States do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

3. Website Use and Restrictions

The FGC Clean name, the FGC Clean logo, the fgcclean.hair domain name, and all related names, logos, product and service names, designs, and slogans are trademarks and service marks of TRS Mobile Service LLC or its affiliates. All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners.

No right, title, or interest in or to the website, any content on the website, or any FGC Clean intellectual property is transferred to you under these Terms of Service. All rights not expressly granted are reserved by TRS Mobile Service LLC. Any feedback, suggestions, or ideas you provide regarding FGC Clean or our services may be used by us without restriction or obligation to you.

5. User Obligations and Responsibilities

FGC CLEAN DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE WILL BE ACCURATE, RELIABLE, OR COMPLETE; THAT ANY DEFECTS OR ERRORS IN THE WEBSITE WILL BE CORRECTED; OR THAT THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRS MOBILE SERVICE LLC, FGC CLEAN, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE FGCCLEAN.HAIR WEBSITE OR ANY SERVICES, CONTENT, OR MATERIALS PROVIDED THROUGH THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FGC CLEAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF TRS MOBILE SERVICE LLC AND FGC CLEAN, WHETHER IN CONTRACT, WARRANTY, TORT, PRODUCT LIABILITY, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE OR THE USE OF OR INABILITY TO USE THE FGC CLEAN WEBSITE, EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS OR THE AMOUNT YOU HAVE PAID TO FGC CLEAN FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF TRS MOBILE SERVICE LLC AND FGC CLEAN SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless TRS Mobile Service LLC, FGC Clean, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the fgcclean.hair website; your violation of these Terms of Service or any applicable law, rule, or regulation; your infringement or misappropriation of any intellectual property right or other right of any third party; or any information, content, or materials you submit, post, or transmit through the website or to FGC Clean.

FGC Clean reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with FGC Clean in asserting any available defenses. You shall not settle any claim that affects FGC Clean or TRS Mobile Service LLC without our prior written consent.

10. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles or provisions that would require the application of the laws of any other jurisdiction.

You and FGC Clean agree that any legal suit, action, or proceeding arising out of or relating to these Terms of Service or the use of fgcclean.hair shall be instituted exclusively in the federal or state courts located in Davis County, Utah, and each party irrevocably submits to the personal jurisdiction of such courts and waives any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

Notwithstanding the foregoing, FGC Clean may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights and confidential information. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service.

11. General Provisions

11.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate written agreement, statement of work, or service order executed between you and FGC Clean, constitute the entire agreement between you and TRS Mobile Service LLC concerning your use of fgcclean.hair and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof.

11.2 Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect and shall be enforced to the fullest extent permitted by law.

11.3 Waiver

No failure or delay by FGC Clean or TRS Mobile Service LLC in exercising any right, power, or privilege under these Terms of Service shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law.

11.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms of Service, whether by operation of law or otherwise, without the prior written consent of FGC Clean. FGC Clean may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction or notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

11.5 Relationship of the Parties

Nothing in these Terms of Service shall be construed as creating a partnership, joint venture, agency, fiduciary, or employment relationship between you and FGC Clean or TRS Mobile Service LLC. Neither party has the authority to bind the other or to incur any obligation on the other’s behalf without the other party’s prior written consent.

11.6 Force Majeure

FGC Clean and TRS Mobile Service LLC shall not be liable for any failure or delay in the performance of their obligations under these Terms of Service arising out of or caused by circumstances beyond their reasonable control, including but not limited to acts of God, earthquakes, fires, floods, storms, epidemics, pandemics, wars, hostilities, civil disturbances, terrorist acts, governmental actions, orders of domestic or foreign courts or tribunals, national emergencies, riots, labor disputes, failures of the internet or third-party telecommunications networks, or interruptions or failures of utility services.

11.7 Third-Party Beneficiaries

These Terms of Service are for the benefit of you and FGC Clean and TRS Mobile Service LLC only. No third party shall have any right to enforce any provision of these Terms, whether under the Contracts (Rights of Third Parties) Act or otherwise.

11.8 Notices

Any notice, request, or other communication required or permitted under these Terms of Service shall be in writing and sent to the other party using the contact information provided in Section 12 below. Notices shall be deemed given when delivered personally, upon confirmed receipt when sent by email, or three business days after being sent by certified or registered mail, postage prepaid, return receipt requested. FGC Clean may also provide notices to you by posting them on fgcclean.hair.

11.9 Survival

The provisions of these Terms of Service that by their nature should survive termination or expiration of these Terms shall so survive, including but not limited to Sections 4 (Intellectual Property Rights), 6 (Confidentiality), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), 10 (Governing Law and Jurisdiction), and 11 (General Provisions).

11.10 Headings

The section headings and subheadings in these Terms of Service are for convenience of reference only and shall not affect the construction or interpretation of any provision hereof. Any reference to including, includes, or including without limitation shall be deemed to be followed by the phrase without limitation.
